2014 Model Search Competition - Rules

CONTEST RULES/GUIDELINES:

1. Participants must be a legal resident of U.S.
2. Must be a minimum 4 years of age and a maximum 17 years of age
3. Entrants must be currently competing within the Kids Artistic Revue dance competition.
4. Photos must be professionally taken.
5. Only one submission is allowed per contestant.
6. Entrants must “LIKE” the KARflash facebook page.
7. Participants cannot be currently contracted/signed with any professional modeling/acting agency

OFFICIAL RULES FOR KIDS ARTISTIC REVUE, INC. & KARFLASH.COM 2014 MODEL SEARCH COMPETITION

NO PURCHASE REQUIRED. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

COMPETITION ENTITY: Kids Artistic Revue, Inc. & KARflash.com is the sponsor of Kids Artistic Revue, KARflash.com 2014 Model Search (the "Competition").

ELIGIBILITY: To be eligible to enter the Competition, (1) you must be female, (2) a minimum of 4 years of age and a maximum of 17 years of age and (3) you must be a legal resident of one of the states of the United States. (4) You must be a current competitor with Kids Artistic Revue

Employees, representatives and agents of Kids Artistic Revue, Inc. & KARflash.com and any family member of, or any person domiciled with, any of the foregoing are not eligible to participate in the Competition.

Kids Artistic Revue, Inc. & KARflash.com reserves the right to disqualify any Entrant whose image is published during the course of the Competition in any media (publications, World Wide Web, television, etc.), that in Kids Artistic Revue, Inc. ' sole discretion shall be deemed to compete with Kids Artistic Revue, Inc.  any and all Kids Artistic Revue, Inc. & KARflash.com brand extensions, or the Competition.

Each person who enters the Competition (an "Entrant") agrees to be bound by these Official Rules. Failure to comply with these Official Rules at all times will result in ineligibility of the Entrant. Each Entrant or legal guardian appoints Kids Artistic Revue, Inc. & KARflash.com as her attorney in fact and grants Kids Artistic Revue, Inc. & KARflash.com permission to demand the removal of any photographs and other material that violate these Official Rules. All federal, state/provincial and local laws and regulations of the United States apply. Void where prohibited or otherwise restricted by applicable law.

THE ENTRY PERIOD AND HOW TO ENTER: An Entrant or Entrant’s legal guardian may submit her entry form and photographs using the procedures described below at any time during the period of Nov. 1, 2013, until June 1st, 2014 at 7:00 PM Los Angeles, CA time (the "Entry Period"). Late entries shall be ineligible. Date of entry during the Entry Period will not affect chances of being chosen. Only one entry per person will be accepted; all subsequent entries will be disregarded.

To enter the Competition, fill out the official application at link  www.dancekar.com/modelsearch . To be considered for the Competition, Entrants or legal guardian of Entrants must (i) complete the official on-line entry form in full; and (ii) provide one (1) photograph of themselves (as described below) during the Entry Period. Upon completion of these items, the Entrant or legal guardian of Entrant will be contacted if further information is needed.

Entrants or legal guardian of Entrants must submit one color headshot photograph in JPEG format (the "Submitted Photographs"), using the instructions provided during the application process. Only the Entrant should appear in the Submitted Photographs. All photos must be at least 500 K in size. Entrants or legal guardian of Entrants must retain the original photographs.

No photographs taken prior to January 1, 2012, non-color photographs, or photographs containing more than one person will be eligible. No enhanced or altered photographs will be eligible. While Entrants may have assistance in entering data and uploading the photos, each Entrant must otherwise complete the entry form herself.

Kids Artistic Revue, Inc. & KARflash.com reserves the right, at any stage of the Competition, to contact any Entrant or legal guardian of Entrant, and/or to request that the Entrant submit additional photos and/or videos (the "Additional Materials"), in KAR’s sole discretion.

SELECTION: Selection of Finalists: Kids Artistic Revue, Inc. & KARflash.com will, in its sole discretion, select among the Entrants a group of Finalists based upon KAR's evaluation of the Entrants' attractiveness and photogenic qualities (60%) and the quality of the Submitted Photographs (40%). Finalists will be contacted via e-mail or telephone, and/or announced via social media outlets.

Finalists may also be required, in Kids Artistic Revue, Inc.’s sole discretion, to submit a videotape (the "Submitted Video") of themselves answering questions from a questionnaire provided by Kids Artistic Revue. The Submitted Video must be provided to Kids Artistic Revue, Inc. & KARflash.com by the deadline that is provided by the Model Search manager, according to his/her instructions of the video requirements. Only the Finalist should appear in the Submitted Video. Kids Artistic Revue, Inc. & KARflash.com may choose another Entrant to be a Finalist in the event that the Finalist does not provide a Submitted Video that is acceptable to Kids Artistic Revue, in its sole discretion.

Finalists shall also be required to submit a Pre-Publication Affidavit, which is described below. In addition, Finalists may be required, in Kids Artistic Revue’s sole discretion, to: (i) respond to additional questionnaires; (ii) submit to an interview via telephone or otherwise; and/or (iii) submit other additional materials or information. The Submitted Photographs, the Submitted Video, and the Additional Materials are referred to collectively in these rules as the "Submitted Materials."

In the event that a Finalist is determined to be ineligible, fails to comply with Kids Artistic Revue’s instructions, or withdraws from the Competition or if a claim is made that she does not own or control sufficient rights in the Submitted Materials to grant the requisite rights to Kids Artistic Revue, Inc. & KARflash.com with respect to the Submitted Materials (as described below), Kids Artistic Revue, Inc. & KARflash.com reserves the right to remove such person's photograph(s) and/or video from the Web Site and substitute another Entrant to replace such person. The selection of the -Finalists shall be within the sole discretion of Kids Artistic Revue, whose decisions shall be final, and shall be based on the criteria listed herein.

Finalists or legal guardian of Finalists may also be required to return additional documentation, affidavits or releases as may be required by Kids Artistic Revue, and if such documentation is not received by the designated date or if the documentation submitted is deemed to be, in Kids Artistic Revue’s sole determination, incomplete, erroneous or misleading, such Finalist will be ineligible to participate in the remainder of the Competition. In the event that a Finalist is determined to be ineligible or withdraws from the Competition or if a claim is made that she does not own or control sufficient rights in the Submitted Materials to grant the requisite rights to Kids Artistic Revue, Inc. & KARflash.com with respect to the Submitted Materials (as described below), Kids Artistic Revue, Inc. & KARflash.com reserves the right to remove such person's photograph(s) and videos from the Web Site and substitute another Finalist to replace such person. The selection of the Finalists shall be within the sole discretion of Kids Artistic Revue, whose decisions shall be final, and shall be based on the criteria listed herein. Results of public voting are not determinative for the Competition. In addition to agreeing to participate in the photo and video shoots described above, Finalists must agree to participate in promotional events on behalf of advertisers selected at the sole discretion of Kids Artistic Revue, and to host one or more parties on behalf of Kids Artistic Revue, Inc. & KARflash.com and/or advertisers, all without additional compensation (except that transportation and hotel accommodations may be provided at the sole discretion of Kids Artistic Revue, Inc. & KARflash.com as described herein).

Selection of Winner: Kids Artistic Revue, in its sole discretion, will choose the Winner of the Competition based upon the result of Kids Artistic Revue' evaluation of the Finalists' attractiveness and photogenic qualities (60%) and quality of the photographs and videotapes from the Finalists' photo/video shoot (40%). The Winner of the Competition must agree to appear on a poster or media of any other type(s) to be included inside a 2014 or 2014 Kids Artistic Revue, Inc. & KARflash.com Catalog and/or the Web Site, Social Media and is aware that such poster or other media may be sponsored by one or more of Kids Artistic Revue's advertisers, without compensation.

In the event that a Winner is determined to be ineligible or withdraws from the Competition, or if a claim is made that she does not own or control sufficient rights in the Submitted Materials to grant the requisite rights to Kids Artistic Revue, Inc. & KARflash.com with respect to the Submitted Materials (as described below), Kids Artistic Revue, Inc. & KARflash.com reserves the right to remove such person's photograph(s) and videos from the Web Site and substitute another Finalist to replace such person. The selection of the Winner shall be within the sole discretion of Kids Artistic Revue, whose decisions shall be final, and shall be based on the criteria listed herein.

PRIZE/VALUE: Finalist Prize: All Finalists may refer to themselves as a "Finalist in the KAR 2014 Model Search" in written and descriptive materials such as a resume, but only if such uses and displays are purely non-commercial.

Winner's Prize: The Winner may refer to herself as the "Winner of the Kids Artistic Revue, Inc. & KARflash.com 2014 Model Search" in written and descriptive materials such as a resume but only if such uses and displays are purely non-commercial. The Winner will star in a photoshoot for KARflash.com website.

Taxes, if any, are the sole responsibility of the Entrants, Finalists, and Winner. No substitution, transfer, assignment or cash equivalent permitted. Kids Artistic Revue, Inc. & KARflash.com reserves the right to substitute prizes with one of equal or greater value, at Kids Artistic Revue’s sole discretion.

PRE-PUBLICATION AFFIDAVIT: All Finalists or legal guardian of Finalists must submit a Pre-Publication Affidavit to Kids Artistic Revue. In the Pre-Publication Affidavit, Finalists or legal guardian of Finalist in Kids Artistic Revue’s' sole discretion, be required to: (i) provide additional biographical or other information; (ii) confirm and certify that they meet all eligibility requirements as set forth in these Official Rules; (iii) confirm and certify that the Submitted Materials depict the -Finalist; (iv) confirm that they have granted Kids Artistic Revue, Inc. & KARflash.com the right, without compensation, to use their name, likeness, and the Submitted Materials and to publish in all media now known, or hereafter devised - including but not limited to magazines, posters, internet online display, television, cable, video, DVD and/or film productions, wireless applications and other media channels and applications, and for advertising, promotions, other competitions sponsored by Kids Artistic Revue, Inc. & KARflash.com and other commercial purposes (whether by Kids Artistic Revue, Inc. & KARflash.com or any third party,) - the Submitted Photographs, Submitted Video, the Additional Materials, and any additional photos, video, biographical information and questionnaire responses that the -Finalist or legal guardian of  Finalist provides in connection with the Competition (except Social Security number, street address, telephone number, e-mail address, or other information specifically noted in writing by Kids Artistic Revue, Inc. & KARflash.com to be confidential or anonymous); and (v) grant Kids Artistic Revue, Inc. & KARflash.com the right to photograph and/or videotape the -Finalist, and to use, without compensation, such photographs and/or video for all purposes and in all media now known or hereafter devised, including but not limited to magazines, posters, online display, television, cable, video, DVD and/or film productions, wireless applications and other media channels and applications, and for advertising, promotions, other competitions sponsored by Kids Artistic Revue, Inc. & KARflash.com and other commercial purposes.

-Finalists or legal guardian of  Finalist shall also be required to covenant, warrant and represent that they will not identify themselves as participants in the Competition and will not use any of Kids Artistic Revue’s' trademarks or trade names except as expressly permitted under these Official Rules. -Finalists or legal guardian of  Finalist understand that Kids Artistic Revue, Inc. & KARflash.com will be irreparably harmed by the use of any of Kids Artistic Revue’s trademarks or trade names except as expressly permitted under these Official Rules. The Competition may be promoted by or in connection with other sponsors, and -Finalists or legal guardian of  Finalists will be required to specifically grant such sponsors the right to use any or all of the Submitted Materials in connection with such promotions without compensation.

Finalists or legal guardian of  Finalist will also be required to represent and warrant that they have sufficient rights in the Submitted Materials to grant Kids Artistic Revue, Inc. & KARflash.com the rights granted hereunder. If the Submitted Materials are modeling shots, photographs/video taken by a professional photographer/videographer, or anything other than personal snapshots/video in which the -Finalist or legal guardian of  Finalist holds all rights, or if they include any copyright notice, -Finalist or legal guardian of  Finalist will be required to demonstrate that the copyright holder(s) has granted her the right to allow Kids Artistic Revue, Inc. & KARflash.com to reproduce and publish the photographs and/or video, by providing a signed Copyright Release (to be provided), or they will be ineligible to participate in the Competition. -Finalists or legal guardian of  Finalists are responsible for any financial reimbursement to the original copyright holder for the rights to publish the Submitted Materials as provided herein; Kids Artistic Revue, Inc. & KARflash.com will not be responsible for any such payment, and will not be held under any obligation to publish a photo and/or video credit to the original copyright holder for the publication of an image. -Finalists or legal guardian of  Finalists shall agree to hold Kids Artistic Revue, Inc. & KARflash.com harmless and to indemnify and defend Kids Artistic Revue, Inc. & KARflash.com from any and all liabilities, loss, claims, or causes of actions, including reasonable attorneys' fees and expenses that may be incurred by Kids Artistic Revue, arising out of or relating to breach of any covenant, representation or warranty, or any other violation of these Official Rules.

-Finalist or legal guardian of -finalists will be required to attach to the Pre-Publication Affidavit copies of two (2) forms of identification, and to show the original thereof to the Notary Public at the time that -Finalist or legal guardian of -Finalist executes her Pre-Publication Affidavit. At least one of the forms of identification must be a valid government-issued ID that includes a photograph of the -Finalist and her date of birth (such as a driver's license, passport, or state/provincial identification card). The other form of identification must verify the -Finalist's identity (such as a school or employer identification card, Social Security card, or birth certificate).

THE RETURN OF ALL REQUIRED DOCUMENTATION IN A TIMELY MANNER IS THE RESPONSIBILITY OF THE -FINALISTS OR LEGAL GUARDIAN OF -FINALIST; -FINALISTS OR LEGAL GUARDIAN OF -FINALIST WHO DO NOT RETURN ALL REQUIRED DOCUMENTATION IN A TIMELY MANNER WILL BE DISQUALIFIED. Unless otherwise specified by Kids Artistic Revue’s, all of the above-referenced materials, and all other materials/forms requested in accordance with these Official Rules, must be returned to Kids Artistic Revue, Inc. & KARflash.com at the following address: Kids Artistic Revue, Inc. & KARflash.com 2014 Model Search, 11132 Winners Circle, Suite 100, Los Alamitos, CA 90720, so as to be received by the deadline established by Kids Artistic Revue, or Entrant may be disqualified.

OTHER TERMS: Entry into the Competition constitutes the Entrant's or legal guardian of Entrant’s permission for Kids Artistic Revue, Inc. & KARflash.com to use Entrant's name, likeness, all the Submitted Materials, other photographs and videotapes, comments and/or voice recordings and likenesses obtained during or in connection with the Competition for advertising or publicity purposes in any and all media - including but not limited to magazines, online display, television, cable, video, DVD and/or film productions, wireless applications and other media channels and applications -- and for advertising, promotions, other competitions sponsored by one or all of Kids Artistic Revue, Inc. & KARflash.com and other commercial purposes (whether by Kids Artistic Revue, Inc. & KARflash.com or any third party) without compensation or permission, except where prohibited by law. Entry also constitutes a representation that the Entrant or legal guardian of Entrant owns all necessary legal rights in all images to grant Kids Artistic Revue, Inc. & KARflash.com the right to use such images as contemplated by these Official Rules and, in particular, that the Entrant or legal guardian of Entrant either personally owns the copyright to the Submitted Materials or that the respective copyright holders have granted the Entrant the right to allow Kids Artistic Revue, Inc. & KARflash.com to reproduce the Submitted Materials and to publish the Submitted Materials as set forth in these Official Rules. The Entrant or legal guardian of Entrant is responsible for any financial reimbursement to the original Copyright Holder for the rights to publish the Submitted Materials; Kids Artistic Revue, Inc. & KARflash.com will not be responsible for any such payment. The Entrants or legal guardian of Entrants shall hold Kids Artistic Revue, Inc. & KARflash.com harmless and defend and indemnify Kids Artistic Revue, Inc. & KARflash.com from any and all liabilities, loss, claims, or causes of actions, including reasonable attorneys' fees and expenses that may be incurred by Kids Artistic Revue, arising out of or relating to any breach of any of the foregoing representations and warranties.

Entrants or legal guardian of Entrants do not have the right to license Kids Artistic Revue' name or trademarks, including but not limited to "Kids Artistic Revue, Inc. & KARflash.com " and "Kids Artistic Revue, Inc. & KARflash.com 2014 Model Search," to any person or entity, even if Entrant is making an appearance on behalf of such person or entity. Any such license must be secured from Kids Artistic Revue. Any use of "Kids Artistic Revue, Inc. & KARflash.com " and/or "Kids Artistic Revue, Inc. & KARflash.com 2014 Model Search" or any reference thereto must first be approved by Kids Artistic Revue, Inc. & KARflash.com in writing.

Entrants or legal guardian of Entrants consent to a background check that may be performed, at the sole discretion of Kids Artistic Revue, to verify information provided by Entrants and compliance with these Official Rules, or for other reasons related to the Competition. This Competition shall be governed and construed by California law, and the exclusive venue for all controversies will be in state or federal court in Orange County, CA. Kids Artistic Revue, Inc. & KARflash.com reserves the right to crop or otherwise alter photographs. Entrant or legal guardian of Entrant waives (or shall ensure that copyright holder waives if Entrant or legal guardian of Entrant is not copyright holder) in favor of Kids Artistic Revue, Inc. & KARflash.com and anyone authorized by them, any and all moral rights that Entrant (or copyright holder) may have in the Submitted Materials. If any Entrant or legal guardian of Entrant does not return any document within the timeframe indicated on the document, or cannot be contacted, Entrant will be disqualified.

Entrants or legal guardian of Entrant consent to Kids Artistic Revue's collection, use and disclosure to third parties of Entrants' personal information for the purpose of administering this Competition and as otherwise set out in these Official Rules.

The chances of being selected to proceed to each of the different stages of the Competition depend on the number of Entrants, on the judging criteria for each stage, and how well the Entrant rates on each such criterion compared to other entrants.
